These Terms of Service and Platform Policy ("Terms") govern the use of the TrueRights Ltd. platform and services by Talent, Talent Management/agencies and Brands and Marketing agencies. By accessing or using our platform and services, you agree to these Terms. This policy applies to all users, including Talent, Talent Managers, and Brands.
TrueRights Ltd. ("TrueRights") offers proprietary software and services to monitor, manage, and enforce campaign usage rights and intellectual property (IP) management for Talent, Talent Managers and Brands. These services include usage rights management, campaign monitoring in adherence to usage rights, IP detection and protection, license content through watermarking with unique IDs referred to as the "TrueRights Stamp" to ensure provenance and accurate tracking of content, generative AI content approvals, and structured agreements for collaborations.

Subject to approval, Talent’s name, likeness, and image may be used in TrueRights marketing campaigns, adhering to agreed creative and media guidelines.
We may modify and update our platform and services from time to time to reflect changes to our products, user needs and business priorities. We will provide reasonable notice of any significant changes so you can understand how they may affect your use of our platform and services.
We may also amend these Terms from time to time. Every time you access our platform, please review these Terms to ensure you understand the terms that apply at that time.
TrueRights reserves the right to update platform features, tools, or this policy. Users will be notified of significant changes at least 30 days before implementation.
We do not guarantee that our platform or services will always be available or uninterrupted. We may suspend, withdraw or restrict the availability of all or any part of our platform for business and operational reasons.
We will attempt to provide reasonable notice of any suspension or withdrawal.
Maintenance schedules will be communicated to minimize disruption to services.You are responsible for ensuring that all persons who access our platform through your connection are aware of these Terms and comply with them.
If you are provided with a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential and not disclose it to any third party.
We have the right to disable any user identification code or password at any time if, in our reasonable opinion, you have failed to comply with any provisions of these Terms.

These provisions are an express reservation of our rights, including for the purposes of applicable copyright directives. This clause shall not apply insofar as we are unable to exclude or limit such activity by contract under applicable laws.
Where our platform contains links to other websites and resources provided by third parties, these links are provided for information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.
All user data is processed and stored in compliance with applicable data protection laws, including GDPR. Users are prohibited from sharing or disclosing sensitive data obtained via the platform without proper authorization. TrueRights implements encryption, access controls, and monitoring to protect user data.
All data, reports, and insights shared via the TrueRights platform are confidential and must not be disclosed without prior written consent unless required by law.
The TrueRights platform is free to join for all users. Basic access to core platform functionality is provided at no cost to enable transparent collaboration between Talent, Talent Management, and Brands. Fees and payments to TrueRights are across the platform and services usage as detailed in section 4 titled "services offered" are subject to the discretion of TrueRights and Talent and/or Talent Management and / or Marketing Agencies and / Or Brands directly.

All fees and payments are processed in accordance with the specific terms outlined in individual agreements, SOWs, or MSAs. Payment schedules, methods, and terms will be clearly specified for each engagement or service tier.
TrueRights retains ownership of all proprietary tools and insights. Licensed data is for the exclusive use of Talent, Managers, or Brands during the agreement period.
We do not guarantee that our platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and systems to access our platform. You should use your own virus protection software.
You must not misuse our platform by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our platform, the server on which our platform is stored or any server, computer or database connected to our platform. You must not attack our platform via a denial-of-service attack or distributed denial-of-service attack.By breaching these provisions, you may commit a criminal offence.
We will report any such breach to relevant law enforcement authorities and cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our platform will cease immediately.
You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

These Terms apply during the active agreement period. Either party may terminate the relationship with 30 days' written notice unless otherwise specified in the MSA.
Disputes arising from platform use must first be addressed through good-faith discussions. Unresolved disputes will follow the arbitration process outlined in the Master Services Agreement.
TrueRights reserves the right to modify these Terms. Changes will be communicated to all users 30 days before implementation.
